PLEX FOR SEPSIS Organization By-Laws
Article I: Name and Purpose
Name: PLEX FOR SEPSIS Organization (plexforsepsis.org)
Purpose: To conduct research on the use of therapeutic plasma exchange (TPE) as a treatment for sepsis. PFSO filed for 501c3 status in North Carolina.
Article II: Membership
Membership: ​
Open to individuals and organizations actively involved in sepsis research, TPE, or related fields.
Categories:
• Regular Members: Individuals with a demonstrated interest in the organization's purpose.
• Associate Members: Non-profit organizations or companies aligned with the organization's mission.
Dues:
​Annual dues for Regular Members and Associate Members will be determined by the BOD.
Article III: Governance
Board of Directors: Elected by the membership to oversee the organization's operations. There will always be a minimum of five members.
Scientific Advisory Committee: Comprised of experts in sepsis research and TPE; provides scientific guidance and oversight.
Article IV: Research Activities
Research Agenda: Developed by the Scientific Advisory Committee and approved by the Board of Directors
Collaboration: Encouraged with other research institutions, universities, and government agencies.
Data Sharing: Member institutions agree to share relevant research data and findings with the organization.
Article V: Publications and Presentations
Journal: Publication of original research findings in a peer-reviewed journals.
Conferences and Symposia: Organization or support of scientific conferences and symposia to disseminate research results and foster collaboration within this field.
Article VI: Finances
Budget: Developed annually with the approval by the Board of Directors
Sources of Funding: Grants, donations, and membership dues.
Auditing: Financial records audited annually by an independent accountant.
Article VII: Amendments
Proposal: By-law amendments may be proposed by any member or the Board of Directors.
Approval: Amendments approved by a two-thirds majority vote of the membership at an annual meeting.
Article VIII: Dissolution
Vote: Dissolution of the organization requires a two-thirds majority vote of the membership at an annual meeting.
Disposition of Assets: Remaining assets distributed to other non-profit organizations with similar missions upon dissolution.
